  1. Acceptance: Any proposals submitted by Turnkey Infotech are valid for a period of 30 days from the date issued. Acceptance of the proposal must be confirmed in writing by the client within this period to ensure the terms and conditions, including pricing, remain as quoted.
  2. Scope of Work: Turnkey Infotech will perform services solely within the scope outlined in the proposal. Any additional services, modifications, or enhancements beyond the initial agreed-upon scope will require a new agreement or an amendment to the existing contract, potentially incurring additional costs.
  3. Payment Terms: Payments are due according to the payment schedule outlined within the proposal. Initial deposits are required before commencement of work. Late payments may result in a halt of work and may affect the delivery timeline.
  4. Intellectual Property: Unless otherwise negotiated, all copyrights, trademarks, patents, and other intellectual property rights derived from the services performed by Turnkey Infotech will be owned by the client upon final payment. Turnkey Infotech reserves the right to use and display the final deliverables for promotional purposes unless explicitly denied by the client in writing.
  5. Confidentiality: Both parties agree to keep all materials, information, and data that are exchanged for the duration of the project confidential. Any sharing of such information with third parties not involved in the project requires written consent from the other party.
  6. Cancellation: Either party may terminate the agreement with written notice if the other party breaches any of its obligations under these terms and conditions and fails to correct such breach within thirty (30) days following written notification. In the event of cancellation, the client is obliged to pay for all services rendered and expenses incurred up to the cancellation date.
  7. Liability: Turnkey Infotech will not be liable for any indirect, special, or consequential damages (including loss of profits) arising from or related to the provision of services or the completion of the project. Turnkey Infotech’s total liability under these terms and conditions shall not exceed the total cost of the services provided under the proposal.
  8. Force Majeure: Neither party will be in breach of its obligations if there is any total or partial failure of performance by each due to any cause beyond reasonable control, including wars, strikes, natural disasters, or failures of third-party telecommunications services.
  9. Governing Law: The proposal and any agreement entered into as a result of this proposal are governed by and construed in accordance with the laws of the jurisdiction in which Turnkey Infotech is registered. Disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
  10. Amendments: No amendment or variation of the terms of this proposal shall be effective unless it is in writing and signed by both parties.
